Newport Beach, CA -- (SBWIRE) -- 12/23/2013 -- Hess-Verdon and Associates, a full-service law firm based in Newport Beach, Calif., today announced the appointment of Noelle Minto to partner. Minto, a prominent Orange County trust and probate attorney, draws from more than 10 years of experience in business representation, estate planning and administration, and international estate and business planning.
Minto establishes ongoing relationships with her business clients, guiding them through early issues such as determining a business entity structure and jurisdiction and business formation. She also coordinates and attends director and shareholder meetings and eventually advises on the strategic liquidation and dissolution of business entities or succession planning. Her clients include companies and nonprofit organizations in Orange County such as architecture firms, commercial real estate developers, wholesale and distribution companies, medical corporations and startup companies. For smaller clients, Minto serves as an on-call, in-house attorney drafting and negotiating agreements governing third-party relationships, employment issues and business relationships; drafting opinion letters for securities, insurance and financial transactions; conducting due diligence; and maintaining compliance with applicable government regulations.
In addition to business transactions and dispute resolution, Minto excels in the area of trust and probate law. She has assisted the firm’s clients in crafting comprehensive estate plans, including forming and registering tax-exempt organizations; establishing irrevocable trusts, including grantor-retained trusts; and advising on other tax-saving vehicles that ensure the preservation and management of wealth for generations.
Minto has represented U.S. and European companies in cross-national matters such as foreign corporation registration in Italy, securing exemptions from Australian GST (tax), and negotiating international joint ventures. With a background in international affairs and her business law experience, Minto navigated the waters of international laws and treaties to provide comprehensive estate planning for foreign nationals based in the United States and for American businesses expanding abroad.
Attorney Minto earned a Bachelor of Arts degree in International Affairs from George Washington University in 1999 and a Juris Doctorate from Whittier College, School of Law in 2003. In her last year at Whittier College, she was elected President of the International Law Society, an organization with which she was active throughout law school.
